Terms of Service

The short version
Colzy is a live coaching tool for your own business sales calls. You are the one on the call, so you are responsible for using it lawfully, including telling the other person that a tool is processing the call where the law requires consent. Colzy makes suggestions; you decide what to say, and your results are your own. The service is provided as is, and our liability to you is limited. If you do not agree with these terms, do not use Colzy.
These Terms of Service ("Terms") are a binding agreement between you and Colzy ("Colzy", "we", "us"). They govern your use of the Colzy website at getcolzy.com, the Colzy desktop application, and any related services (together, the "Service"). By creating an account, installing the app, joining early access, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference.
1. Who can use Colzy
- You must be at least 18 years old.
- You must use Colzy for business purposes only. Colzy is a tool for professionals who sell as part of their work. It is not offered for personal, family, or household use, and consumer protection rules that apply to consumer purchases do not apply to business purchases.
- If you use Colzy on behalf of a company, you confirm you have authority to bind that company, and "you" includes that company.
- You are responsible for your account and for keeping your login and license details secure. One license covers one person unless we agree otherwise in writing.
2. What Colzy is, and what it is not
Colzy listens to the audio of your live sales calls, detects likely objections, and displays suggested lines and call metrics on your screen. Its suggestions come from a fixed library of sales techniques and, for some detections, automated classification of what was said.
- Colzy is an aid, not an advisor. Its output is general sales coaching information. It is not legal, financial, medical, or other professional advice, and it is not tailored to any specific deal, contract, or regulatory situation.
- You are always the decision maker. You choose whether to say, or not say, anything Colzy suggests. What you say on your calls is your speech and your responsibility.
- Detection and transcription can be wrong. Speech recognition and objection detection are probabilistic. Colzy may mishear, miss an objection, classify one incorrectly, or display a suggestion that does not fit the moment. You must not rely on Colzy as a record of what was said on a call.
- No promise of results. We do not promise that Colzy will improve your close rate, win you any deal, or produce any revenue or business outcome. Any figures on our website describe how the product works or cite third-party research; they are not a guarantee of your results.
3. Call recording and consent: your responsibility
Colzy processes live call audio on your behalf. Laws on recording, intercepting, or transcribing conversations vary by country and by state, and many places require the consent of everyone on the call, not just you.
You are solely responsible for complying with all laws that apply to your calls. Before using Colzy on a call, you must determine what consent or notice the law requires in your location and the location of every participant, and obtain it. We recommend disclosing at the start of every call that you use a tool that processes call audio for notes and coaching, and obtaining agreement, regardless of what the strict legal minimum may be where you are.
You represent and warrant that you will only use Colzy on calls where such processing is lawful and where all legally required consents have been obtained. We may suspend or terminate your access if we reasonably believe you are using Colzy unlawfully.
4. Acceptable use
You agree that you will not:
- use the Service on calls where you lack the legal right or required consents to process the audio;
- use the Service to harass, deceive, or defraud anyone, or in connection with any unlawful activity;
- copy, scrape, extract, resell, or redistribute Colzy's response library, prompts, or other content, or use them to build a competing product;
- reverse engineer, decompile, or attempt to extract the source code or models behind the Service, except where the law grants you that right despite this clause;
- share your license, resell access, or make the Service available to third parties without our written agreement;
- interfere with or disrupt the Service, attempt to bypass usage limits or security measures, or probe or test its vulnerability without our written permission;
- submit forms or requests to the Service in an automated or abusive way.
5. Early access and changes to the Service
- Colzy is a young product. During early access ("beta"), features may change, break, or be removed, the app may fail during a call, and the Service may be unavailable at times. We provide no uptime commitment.
- Early access is currently free. Free access is temporary and may end. We may introduce, change, or remove pricing, plans, and features at any time. If you are on a paid plan, price changes will only take effect at your next renewal, and we will give you notice before they do.
- We may update these Terms. If we make a material change, we will update the date above and take reasonable steps to notify you, such as email or an in-app notice. Your continued use of the Service after a change means you accept the updated Terms.
6. Payments, renewals, and refunds
- Paid plans are billed through our payment platform. Your payment details are handled by that platform, not by us.
- Unless stated otherwise at purchase, subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period.
- Because Colzy is a business service that is made available to you immediately, fees are non-refundable except where we state otherwise at purchase or where the law requires a refund. If something has gone wrong, email us and we will try to put it right.
- Prices exclude any taxes, which you are responsible for where applicable.
7. Your content and data
- You retain all rights to your calls, your speech, and any information you provide (such as your offer details or deal notes). You grant us the limited licence needed to process that content in order to provide, secure, and improve the Service, as described in our Privacy Policy.
- You are responsible for your dealings with your own prospects and clients, including any commitments you make to them about tools you use on calls.
- If you send us feedback, ideas, or suggestions, we may use them without restriction or payment. We will not name you without your permission.
8. Our intellectual property
The Service, including the app, website, design, response library, prompts, and all associated content and branding, belongs to Colzy or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business while these Terms are in effect. No other rights are granted.
9. Third-party services
Colzy works alongside and depends on services we do not control, including video platforms (such as Zoom, Google Meet, and Microsoft Teams), macOS, speech-to-text and AI processing providers, hosting, and payments. We are not responsible for those services, their availability, or their acts or omissions, and your use of them is governed by their own terms. Colzy is not affiliated with or endorsed by Zoom, Google, Microsoft, or Apple.
10. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, that detections or transcriptions will be accurate, or that the Service will meet your requirements.
11. Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, deals, opportunities, goodwill, or data, arising out of or related to the Service, even if we have been advised such losses are possible. For clarity, this includes any deal or negotiation outcome on any call where you used Colzy.
- Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the amounts you paid us for the Service in the 12 months before the event giving rise to the claim or, if you have paid nothing, 50 US dollars.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.
12. Indemnity
You will indemnify and hold harmless Colzy and its owner, employees, and contractors from and against any claims, demands, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service on calls without legally required consent or notice, or otherwise in breach of applicable law; (b) your breach of these Terms; (c) your dealings with your prospects, clients, or any other third party; or (d) content or information you provide to us.
13. Suspension and termination
- You may stop using the Service and close your account at any time by emailing us.
- We may suspend or terminate your access immediately if you breach these Terms, if we reasonably believe your use is unlawful or harms others, or if we discontinue the Service. If you are on a paid plan and we discontinue the Service or terminate without cause, we will refund the unused portion of any period you have paid for; that refund is your sole remedy.
- Sections that by their nature should survive termination (including sections 7, 8, 10, 11, 12, and 15) survive it.
14. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any prior discussions.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part is replaced with a valid term that best matches its intent.
- No waiver. If we do not enforce a right under these Terms, that is not a waiver of it.
- Assignment. You may not transfer these Terms or your account. We may assign these Terms in connection with a merger, acquisition, or sale of the business.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
15. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each of us consents to that jurisdiction. Before starting any formal proceedings, you agree to first contact us and give us 30 days to try to resolve the issue informally.
